Ownership Rights Policy

Ownership Rights Policy

To ensure clarity and protect both parties, the following ownership terms apply to all website design and development projects provided by Davidynamics.

1. Ownership Transfer Upon Final Payment

All website designs, development work, graphics, files, and deliverables created by Davidynamics remain the sole property of Davidynamics until the project balance has been paid in full.

Once final payment is received, ownership of the approved final website design and completed deliverables transfers to the client unless otherwise stated in writing.

No ownership rights are granted prior to full payment.

2. Client-Owned Materials

The client retains ownership of all materials provided to Davidynamics, including but not limited to:

  • Logos

  • Brand assets

  • Trademarks

  • Business names

  • Written content

  • Photography

  • Videos

  • Marketing materials

  • Product information
     

The client confirms they have the legal right to use all submitted materials and assumes responsibility for any copyright or trademark issues related to client-provided content.

3. Designer Portfolio Rights

Davidynamics reserves the right to display completed projects, mockups, screenshots, branding, and website designs in portfolios, social media, advertising materials, case studies, presentations, and marketing content for promotional purposes.

This includes:

  • Website screenshots

  • Before/after examples

  • Design previews

  • Branding elements

  • Publicly available project links
     

Confidential business information will never be intentionally disclosed.

4. Third-Party Software & Licenses

Certain projects may include third-party software, plugins, themes, fonts, stock photography, APIs, or licensed tools provided by external vendors including but not limited to:

  • WordPress

  • Shopify

  • Wix

  • Premium plugins

  • Licensed templates

  • Stock image providers

  • SaaS integrations
     

Ownership of these third-party products remains with their respective creators and is subject to the original licensing terms established by those providers.

The client is responsible for maintaining active subscriptions, renewals, or licensing fees associated with any third-party products unless otherwise agreed upon in writing.

5. Proprietary Tools & Frameworks

Davidynamics retains ownership of any proprietary systems, workflows, templates, coding frameworks, processes, scripts, development methods, or internal business tools used during the project.

The client receives rights to the final completed website deliverables only and does not acquire ownership of internal development systems or reusable business assets created by Davidynamics.

6. Website Access & Administrative Credentials

Upon project completion and final payment, the client will receive administrative access to applicable website platforms and accounts that are owned by the client.

If hosting or platform accounts are managed directly by the client, the client assumes responsibility for:

  • Account security

  • Password management

  • Domain renewals

  • Hosting renewals

  • Third-party subscriptions

  • Platform billing
     

Davidynamics is not responsible for service interruptions caused by expired accounts, unpaid invoices, hosting failures, or unauthorized account access after project delivery.

7. Unauthorized Modifications & Liability

Once the website has been delivered or administrative access has been transferred, Davidynamics is not responsible for:

  • Errors caused by third-party modifications

  • Plugin conflicts caused by client installations

  • Broken functionality resulting from unauthorized edits

  • Security vulnerabilities caused by external access

  • Website downtime caused by hosting providers or external services
     

Any repairs or troubleshooting required after unauthorized changes may be billed separately.

8. Resale & Redistribution Restrictions

The client may not:

  • Resell unfinished designs

  • Redistribute proprietary design assets

  • Claim authorship of custom development frameworks

  • Copy or duplicate protected design systems for commercial resale
     

unless written permission is granted by Davidynamics.

9. Non-Payment & Revocation Rights

If payment obligations are not fulfilled, Davidynamics reserves the right to:

  • Suspend work

  • Remove website access

  • Revoke licenses

  • Disable unpublished deliverables

  • Withhold transfer of ownership rights
     

until all outstanding balances are paid in full.

10. Acceptance of Terms

By purchasing services from Davidynamics, the client acknowledges and agrees to the ownership terms outlined above.
