4. Client Responsibilities

Clients are responsible for providing all necessary materials required for project completion, including but not limited to:

Business information
Website content/copy
Logos and branding assets
Images and media
Product information
Login credentials
Requested approvals and feedback

The Client agrees to:

Provide accurate information
Respond to communication in a timely manner
Review drafts and revisions promptly
Maintain respectful and professional communication

Delays in communication or missing materials may extend project timelines.

Davidynamics is not responsible for delays caused by the Client.

5. Project Start & Scheduling

Projects are officially scheduled only after:

Required deposit/payment is received
Intake form is completed
Required content/materials are submitted

Davidynamics reserves the right to decline projects that are not a suitable fit.

Estimated turnaround times are not guarantees and may vary depending on project scope, revisions, communication delays, or unforeseen circumstances.

6. Payment Terms

Deposits

A non-refundable deposit is required before work begins unless otherwise stated in writing.

Remaining Balance

Final payment must be completed before:

website launch
transfer of files
release of credentials
ownership transfer

Late Payments

Late payments may result in:

paused work
delayed delivery
suspension of services
additional late fees

Davidynamics reserves the right to withhold final deliverables until payment is received in full.

7. Refund Policy

Due to the nature of digital services, all payments made to Davidynamics are non-refundable unless otherwise stated in writing.

Strategy work

Time reserved for projects

Project Cancellation

If a Client chooses to cancel a project after work has begun:

all deposits remain non-refundable
completed work will be billed accordingly
unused portions may be evaluated at our discretion

Davidynamics reserves the right to cancel projects due to:

abusive behavior
lack of communication
policy violations
failure to provide required materials

8. Revision Policy

Each project includes a limited number of revisions as outlined in the selected package or proposal.

Revisions Include:

minor design adjustments
text edits
image replacements
color/font updates
spacing adjustments

Revisions Do Not Include:

complete redesigns
additional pages
new features/functionality
changes outside original project scope

Additional revisions beyond the included amount may incur additional fees.

Revision requests must be submitted within the designated revision period communicated during the project.

9. Scope Creep & Additional Work

Any work requested outside the originally agreed-upon project scope will be considered additional work and may require:

10. Website Content

Clients are solely responsible for all content submitted for use on their website, including:

text
images
videos
trademarks
logos
product information

The Client confirms they own or have permission to use all submitted materials.

Davidynamics is not liable for copyright infringement or legal disputes related to client-provided content.

11. Ownership Rights

Ownership of the final approved website transfers to the Client only after full payment has been received.

Until final payment is completed:

all designs
concepts
graphics
source files
website materials

remain the property of Davidynamics.

Portfolio Rights

Davidynamics reserves the right to display completed projects in:

portfolios
social media
marketing materials
case studies
promotional content

unless otherwise agreed upon in writing.

Third-Party Assets

Certain third-party materials may remain subject to their original licensing agreements, including:

stock photography
fonts
plugins
templates
software licenses

Clients are responsible for maintaining any required third-party subscriptions or licenses.

12. Hosting Responsibilities

Unless otherwise agreed in writing, Clients are responsible for:

purchasing hosting
maintaining hosting accounts
domain registration renewals
third-party subscriptions
email hosting services

Davidynamics may assist with setup but is not liable for:

hosting outages
server failures
platform downtime
email disruptions
domain expiration
third-party software issues

Clients are responsible for maintaining secure passwords and account access after project completion.

13. Website Maintenance

Website maintenance is not included unless specified within a maintenance plan or written agreement.

Maintenance May Include:

backups

Maintenance Does Not Include:

redesigns
new functionality

Emergency support or additional maintenance requests may incur additional fees.

14. SEO & Marketing Disclaimer

While Davidynamics follows industry best practices for SEO and digital marketing, we do not guarantee:

specific rankings
traffic increases
lead generation
sales performance
advertising results

Search engine algorithms and platform policies are controlled by third parties and may change at any time.

15. Third-Party Platforms

Projects may involve third-party platforms such as:

WordPress
Shopify
payment processors
plugins
APIs
hosting providers

Davidynamics is not responsible for:

platform outages

16. Limitation of Liability

copyright violations
trademark disputes

18. Project Abandonment

Projects inactive for more than 30 days due to lack of Client communication, missing materials, or non-responsiveness may be considered abandoned.

Abandoned projects may be:

removed from schedule
archived
subject to restart fees
closed without refund

19. Termination of Services

Davidynamics reserves the right to terminate services at any time for:

harassment
abusive behavior
non-payment
unethical conduct
repeated policy violations

Any completed work up to the termination date remains billable.

20. Privacy
